Seller’s failure or inability to make, or Buyer’s failure or inability to take any delivery or deliveries when due, or the failure or inability of either party to effect timely performance of any other obligation required of it hereunder except an obligation to pay money, if caused by Force Majeure as hereinafter defined, shall not constitute a default hereunder or a liability to the other, provided however, the party so affected shall, within 7 (seven) days, notify the other party when such Force Majeure circumstance has commenced and when it has ceased to affect its ability to perform its obligations hereunder. The quantity to be delivered hereunder shall be reduced to the extent of the deliveries omitted for such cause or causes, unless both parties agree that the total quantity to be delivered hereunder shall remain unchanged. As used herein,
the term « Force Majeure » shall mean and include any act of God, nature of the public enemy, explosion, accident, operation malfunction or interruption, fire, storm, earthquake, flood, drought, perils of the sea, strikes, lockouts, labour disputes, riots, sabotage, embargo, war (whether or not declared) federal, state, municipal or public authority legal restriction or limitations or compliance therewith, failure or delay of transportation, shortage of, or inability to obtain raw materials, supplies, equipment, fuel, power supply or any other circumstance of a similar or different nature beyond the reasonable control of the party affected thereby.In this connection, a party shall not be required to resolve labour disputes, except in accordance with such party’s business judgement as to its best interests.
Should the case of Force Majeure last no longer than three (3) months, tonnages outstanding owing to Force Majeure shall be delivered and accepted after the case of Force Majeure has ceased to exist over a period which will be agreed between the contracting parties in accordance with their possibilities. Should the impediment last longer than three (3) months, the parties will consider together the possibility of future delivery of material.
If case of CIF sales, and completion of loading, all consequences of a force majeure situation are borne by Buyers. Therefore, the provisions of this clause will not apply to all shipments on route to the first port of discharging.

卖方逾期不履行合同或是无能力履行合同,或买方逾期不履行合同或者无能力履行合同,或合同一方没有及时地履行另一方要求其支付价款的义务,如果是由不可抗力所致,则合同当事人对另一方不构成违约或无须承担责任.但是,受影响一方当事人应当在7日内,通知另一方当事人该不可抗力发生的时间,及何时停止对履行合同义务的影响.如果双方同意所交付物品的质量不改变,则交付物品的质量应当达到合同条款默认事项的质量程度.正如本款所示,不可抗力是指而且包括人的意志以外的情况、敌人、爆炸、事故、操作故障、或中断操作、火灾、雪灾、地震、洪水、旱灾、海事危险、罢工、停工、劳工纠纷、骚乱、阴谋破坏、禁止贸易、战争（宣告或是未宣告的）、联邦、州、市政府或公共权力的法律限制或服从、运输不能或运输迟延、原材料短缺或无法获得原材料、供应物资、器械、电力、或者超出受影响一方合理控制的其他情况下相同或不同性质的物资的短缺或无法获得.在这种情况下,不应该要求一方当事人解决劳工纠纷,除非与其为了相关的最大利益而进行的商业判断相一致.如果不可抗力持续时间不超过3个月,一方应当交付货物,另一方应当接受货物,在不可抗力停止一段时间后,双方应当依照履行的可能性就交付的货物达成合意.如果超过3个月仍不履行合同,双方应当考虑未来交付的可能性.在CIF且装载完成的货物买卖合同中,不可抗力所引起的结果应归属于买方.因此,本条款不适用于在第一港口卸货的所有运输合同.
