Supplier acknowledges that the remedy at law for any breach by it of the terms of
this Agreement shall be inadequate and that the damages resulting from such
breach are not readily susceptible to being measured in monetary terms.
Accordingly,in the event of a breach or threatened breach by Supplier of the
terms of this Agreement,XXX shall be entitled to immediate injunctive relief and
may obtain a temporary order restraining any threatened or further breach.
Nothing in this Agreement shall be construed as prohibiting XXX from pursuing
any other remedies available to XXX for such breach or threatened breach,
including the recovery of damages from Supplier.
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan without regard to its conflict of law
provisions.
No term or provision of this Agreement will be considered waived by
either party,and no breach excused by either party,unless such waiver or
consent is in writing signed on behalf of the party against whom the
waiver is asserted.No consent by either party to,or waiver of,a breach by
either party,whether express or implied,will constitute a consent to,
waiver of,or excuse of any other,different,or subsequent breach by either
party.
If any part of this Agreement is found invalid or unenforceable,that part
will be amended to achieve as nearly as possible the same effect as the
original provision and the remainder of this Agreement will remain in full
force.
This Agreement constitutes the entire agreement between the parties
relating to its subject matter and supersedes all prior or contemporaneous
representations,discussions,negotiations,and agreements,whether
written or oral.This Agreement may be amended or supplemented only
by a writing signed by duly authorized representatives of both parties.
