If the Seller and the Buyer cannot agree on the amount of such withholding,the Buyer will promptly issue a payment for the amount of the Seller’s invoice less a reasonable amount for set-off.The Buyer may also decline to make payment or,because of subsequently discovered evidence or subsequent observations,he may obtain a credit from the Seller to such extent as may be necessary in his opinion to protect himself from Loss because of failure by the Seller to provide the required documentation and as may be set out in the specification forming part of the Order.
