14.GENERAL
概要
14.1 The relationship of the parties shall be that of independent contractors and the Supplier is engaged in an advisory capacity only.The Supplier is not permitted to act or hold itself out as agent,nor does it have any power to enter into any contract,commitment or arrangement on behalf of the Recipient.Nothing in this Agreement shall be deemed to constitute a partnership between the parties.
14.2 A waiver (whether express or implied) by one of the parties of any of the provisions of this Agreement or of any breach of or default by the other party in performing any of those provisions shall not constitute a continuing waiver and that waiver shall not prevent the waiving party from subsequently enforcing any of the provisions of this Agreement not waived or from acting on any subsequent breach of or default by the other party under any of the provisions of this Agreement.
14.3 Each party shall upon request,at its own expense,at all times from the date of this Agreement do or procure the doing of all things as may be required to give full effect to this Agreement,including the execution of all deeds and documents.
14.4 This Agreement may be executed in any number of counterparts,all of which,taken together,shall constitute one and the same agreement,and any party (including any duly authorised representative of a party) may enter into this Agreement by executing a counterpart.
14.5 The provisions contained in each clause of this Agreement shall be enforceable independently of each of the others and their validity shall not be affected if any of the others are invalid.
14.6 Any variation of this Agreement shall not be binding on the parties unless set out in writing,expressed to vary this Agreement,and signed by authorised representatives of each of the parties.
14.7 Each party shall pay the costs and expenses incurred by it in connection with the entering into and completion of this Agreement.

14.1各方关系,应是独立的承包商和供应商,是从事只有咨询能力.供应商不得以行为或持有自己的代理人,也没有任何权力签订任何合同,承诺或安排,对代表的收件人.本协议中的任何应被视为构成伙伴关系,双方的情况.
14.2放弃（不论明示或暗示）,由一方当事人的任何一本协定的规定,或者任何违反或不履行,由另一方当事人在履行上述任何一项规定不构成持续减免,并认为,放弃不得防止免收党从后来执行任何有关本协议的规定不免除或由代理对任何其后的违约或对方违约,根据任何有关本协定的规定.
14.3每一缔约方应根据请求,在其自己的牺牲,在任何时候,自公布之日起本协议或不购买该做的一切事情,因为可能会被要求全面实施这一协议,其中包括执行所有的先进事迹和文件.
14.4本协议签立任何数目的对口单位,所有的,它们共同构成同一个协议,任何一方（包括任何正式授权代表一党） ,可进入本协定执行对应机构.
